1. Acceptance of these Terms

These Terms of Use (the “Terms”) govern your access to and use of the website operated by Ivy Realty Group (“Ivy,” “we,” “us” or “our”), including its property search, tools, forms, the Ask Ivy assistant, open house sign-in pages, and the client and agent portals (together, the “Site”). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

You must be at least 18 years old to use the Site.

2. Our brokerage services

Ivy is a real estate brokerage located in Massachusetts. Real estate brokerage services are provided by licensed Ivy agents, and only where they are licensed to provide them.

Using the Site, creating an account or sending us a message does not by itself create an agency, brokerage or fiduciary relationship between you and Ivy or any Ivy agent. A brokerage relationship begins only when it is agreed with an Ivy agent, as Massachusetts law provides, including the licensee-consumer relationship disclosure your agent gives you. Until then, do not share information through the Site that you would not want a seller, landlord or other party to know.

3. Listing information

Listing information on the Site is provided in part by MLS Property Information Network, Inc. (“MLS PIN”) through its Internet Data Exchange program and may include properties listed by brokerages other than Ivy. Listing data and images were compiled by MLS PIN from third-party sources for consumers’ personal, noncommercial property searches. Accuracy is not guaranteed.

Listing information is provided only for your personal, non-commercial use to identify properties you may be interested in buying or renting, and may not be used for any other purpose. Square footage, lot size, room counts, school information, taxes, fees, photographs and other details are approximate and should be verified independently. Properties may be under agreement, sold, rented or withdrawn at any time, and prices may change without notice.

4. Estimates, tools and information

The Site offers tools and information such as estimated monthly payments, home value and market information, neighborhood descriptions, guides and answers from the Ask Ivy assistant. They are provided for general information only. A payment estimate is not a loan offer, rate quote or commitment to lend. A value estimate or market report is not an appraisal. Nothing on the Site is legal, tax, financial, lending, home inspection or other professional advice. Consult a qualified professional before making a decision based on it.

5. Accounts and portals

Some features require an account, such as saving homes and searches and the client portal. You can create a client account yourself or be invited by your Ivy agent. The agent portal is for Ivy agents and staff and is available by invitation only. Your account is personal to you. You agree to provide accurate information, keep your sign-in credentials confidential, and tell us promptly if you believe your account has been used without permission. You are responsible for activity under your account.

The information, documents, tools and workflows available inside the portals are confidential to Ivy and to the people involved in each transaction. You may use them only for your own transaction or, for agents and staff, for Ivy business. We may suspend or end any account that does not follow these Terms.

6. Communications

When you submit a form, request a showing, sign in at an open house, or ask Ivy to follow up, you agree that Ivy and its agents may contact you about your request by email or phone. If you give us your mobile number and agree to receive text messages, we may text you about your inquiry, appointments, home search and listing updates. On email signup, voluntarily providing the optional mobile number and clicking Create client account gives that text consent to Ivy Realty Group and its agents, as disclosed beside the button. Accepting these Terms alone does not give text consent or permission for marketing calls. Leave the number blank to create an account without texts. Message frequency varies, and message and data rates may apply. Reply STOP to stop or HELP for help. Text consent is not a condition of purchasing any property or service.

You can manage email and text preferences in Settings and unsubscribe from marketing emails with the link in any such email. We may still send account emails and messages about an active transaction, your account or these Terms.

7. Information you submit

You are responsible for the information, messages, documents and other content you submit through the Site, and you confirm that you have the right to share it. You grant Ivy a non-exclusive, royalty-free license to use, store, copy and share that content as needed to provide our services to you, to operate and improve the Site, and as described in our Privacy Policy.

Please do not submit Social Security numbers, bank or card numbers, passwords or similar sensitive information through public forms or the Ask Ivy assistant.

8. Acceptable use

You agree not to:

• use robots, scrapers, crawlers or other automated means to access, collect, copy or index the Site or its listing information, other than search engines that follow the Site’s published crawling rules;
• copy, reproduce, republish, frame, mirror or redistribute the Site or its content, or recreate its design, features or functionality, including by using automated tools or artificial intelligence;
• decompile, reverse engineer or attempt to derive the source code, data or underlying logic of the Site, or probe, scan, test or circumvent its security or access controls;
• use the Site or its listing information for any commercial purpose, or to build or support a competing product or service;
• submit false, misleading or fraudulent information, impersonate any person, or use another person’s account;
• post or send content that is unlawful, harassing, defamatory, or that discriminates in violation of fair housing laws;
• interfere with the operation of the Site or place an unreasonable load on it; or
• use the Site in violation of any applicable law or regulation.

9. Intellectual property

The Site and its content, including its design, layout, text, graphics, software, search and recommendation features and underlying logic, are owned by Ivy or its licensors and are protected by copyright, trademark and other laws. “Ivy Realty Group” and the Ivy logo are trademarks of Ivy. Listing data is owned by MLS PIN and its participants and is used under license. Except for the limited personal use these Terms allow, no right or license in the Site or its content is granted to you.

10. Third-party services and links

The Site may link to or rely on services operated by others, such as maps, electronic signature, deposit and payment services, lenders, and other websites. Ivy does not control those services and is not responsible for their content, availability or practices. Your use of them is governed by their own terms and policies.

11. Fair housing

Ivy is committed to the letter and spirit of the federal Fair Housing Act and Massachusetts fair housing laws. We do not discriminate on the basis of race, color, religion, national origin, sex, disability, familial status, sexual orientation, gender identity, age, marital status, ancestry, genetic information, military or veteran status, receipt of public assistance or housing subsidy, or any other basis protected by law.

12. Copyright complaints

If you believe content on the Site infringes your copyright, send us a written notice that identifies the copyrighted work, the material you believe infringes it and where it appears on the Site, your contact information, a statement that you have a good-faith belief the use is not authorized, and a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner. 13. Disclaimers

The Site and all information, listings, estimates and tools on it are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement. Ivy does not warrant that the Site will be uninterrupted, secure or free of errors, or that any information on it is current or correct.

14. Limitation of liability

To the fullest extent permitted by law, Ivy and its owners, agents, employees and licensors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or opportunity, arising out of or relating to your use of, or inability to use, the Site or any information on it, even if advised of the possibility of such damages. Ivy’s total liability for any claim arising out of or relating to the Site will not exceed one hundred dollars ($100).

This section does not limit any liability that cannot be limited under applicable law, and it does not limit the terms of any written agreement you sign with Ivy for brokerage services.

15. Indemnification

You agree to indemnify and hold harmless Ivy and its owners, agents and employees from any claims, losses, liabilities and expenses, including reasonable attorneys’ fees, arising out of your misuse of the Site, your content, or your violation of these Terms or of any law or the rights of another person.

16. Suspension and termination

We may suspend or end your access to all or part of the Site at any time, with or without notice, if we believe you have violated these Terms or to protect the Site, our clients or others. Sections that by their nature should survive, including those on ownership, disclaimers, limitation of liability, indemnification and governing law, will survive.

17. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Massachusetts, and you consent to their jurisdiction.

18. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page. Changes apply from that date. Your continued use of the Site after a change means you accept the updated Terms.

19. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Ivy about the Site, and they do not replace any written agreement you sign with Ivy for brokerage services. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, sale or reorganization.
